Stock market reaction to financial statement certification by bank holding company CEOs

In 2002, the Securities and Exchange Commission mandated that the chief executive officers of large, publicly traded firms certify the accuracy of their company financial statements. In this paper, I investigate whether CEO certification has had a measurable effect on the stock market valuation of the forty-two bank holding companies subject to the SEC order. I find that these firms experienced a positive average abnormal return of 30 to 60 basis points on the day of certification-a result driven primarily by those BHCs that certified ahead of the SEC's deadline. Banks with something to lose: the disciplinary role of franchise value

As protectors of the safety and soundness of the banking system, banking supervisors are responsible for keeping banks' risk taking in check. The authors explain that franchise value--the present value of the stream of profits that a firm is expected to earn as a going concern--makes the supervisor's job easier by reducing banks' incentives to take risks. The degree to which mid-sized firms--the "middle market"- depend on large regional banks for short-term credit is an issue particularly relevant to New England. If this dependence is heavy, then the recent consolidation among the regions large bank holding companies could be forcing its mid-sized firms to accept short-term credit on uncompetitive terms.
